ams Osram Agrees to Sell Automotive Lighting Unit.  What's Left?

The company continues to divest assets that don’t fit into its sensor business, but many pieces still remain

 

Plastic Omnium has agreed with ams Osram Group to acquire 100% of the Osram automotive lighting business unit – AMLS (Automotive Lighting Systems GmbH). Plastic Omnium is an $8 billion French company that provides a portfolio of product solutions to global automakers.

QUICK FACTS

  • ams Osram’s automotive business unit generated $163 million in revenues in 2021.

  • The unit manufactures in 3 locations across the United States, China, and Italy and has around 770 employees.

  • The purchase price is $71.6 million.

  • The transaction is expected to close in the third quarter 2022, subject to customary regulatory approvals.

  • ams Osram sells automotive lighting products under the SYLVANIA brand in North America.

  • All figures above were converted to U.S. currency using 1 EUR = 1.10 USD

This announcement represents yet another piece of the ams Osram portfolio being divested. The transaction represents a further step in the implementation of ams Osram’s previously communicated strategy to focus strategic technology dedicated to its core sensor business while divesting businesses that are not seen as core to the corporate strategy.

ams Osram's recently-announced lighting divestitures:

  • North American Digital Systems (DS) was acquired by Acuity Brands in July 2021. 

  • Digital Lumens and Encelium brands were sold to private equity company, Skyview Capital in September 2021. 

  • Signfiy has agreed to purchase ams Osram's horticultural lighting brand, Fluence.  The deal was announced in December and expected to close in the first half of 2022.

Opto Semiconductors
Osram Opto Semiconductors is the lighting platform that has the most strategic fit with the core ams sensor business. Opto offers a variety of low-power, mid-power and high-power LED components that are sold into OEM products and consumer goods.

Digital Systems (DS) rest-of-world
Acuity Brands’ 2021 acquisition specified that it was buying the North American DS business.  ams Osram still owns Digital Systems product platforms that service the rest of the world.

Traxon e:cue Lighting & Controls
Traxon e:cue is based in both Hong Kong and Germany but goes to market globally. The brands are represented by lighting agents in the USA and Canada.

Clay Paky Entertainment
The pandemic has been a challenging time for companies whose products are sold into the live events market, but ams Osram-owned Clay Paky is a well-respected Italian theatrical lighting brand – that is reported to be stronger in Europe than in other parts of the world.
